Terms and Conditions

About the Trade platform: Trade is a B2B platform for wholesale IT lots. The website does not process payments and submitting an order request, price offer or auction bid does not by itself conclude a purchase contract.

1. Scope

These Terms and Conditions apply to all business relationships between Intercom IT GmbH and its customers. Deviating or supplementary terms of the customer shall only become part of the contract if expressly agreed in writing.

2. Use of the Trade platform

The presentation of lots, products, prices and services on Trade does not constitute a legally binding offer. It is an invitation to submit an order request, a price offer or an auction bid.

Using Order, Suggest Price or the auction function records and transmits the respective request to Intercom IT GmbH. It does not automatically create a purchase, reserve a lot, accept a proposed price or confirm an auction result.

Users must provide accurate registration and contact information and must not misuse the website, attempt unauthorized access, interfere with its operation or introduce harmful content.

3. Conclusion of contract

A contract is only concluded when Intercom IT GmbH confirms the order or begins execution of the service. Availability, the final scope of goods, prices and other commercial terms are subject to that confirmation.

4. Lot and product information

Lots may contain used or refurbished equipment with different models, specifications, grades and individual prices. Where a unit price is shown as an approximation, it may represent an average for the lot. Item-level information should be reviewed in the downloadable Excel file.

Product and lot information is prepared with care but remains subject to verification in the final order confirmation.

5. Prices and payment

All prices are stated in Euro and exclude statutory VAT unless otherwise indicated. Payments are due immediately upon invoicing without deduction unless otherwise agreed.

No payment is processed on the Trade website. Invoicing and payment arrangements are communicated directly by Intercom IT GmbH after the request has been reviewed.

In the event of default in payment, Intercom IT GmbH reserves the right to charge statutory interest and suspend further services.

6. Delivery and performance

Delivery dates and service deadlines are non-binding unless explicitly agreed otherwise. Partial deliveries are permitted if reasonable for the customer.

Delays due to force majeure or circumstances beyond the control of Intercom IT GmbH entitle the company to postpone delivery accordingly.

7. Retention of title

Delivered goods remain the property of Intercom IT GmbH until full payment has been received. The customer is obliged to treat the goods with care until ownership is transferred.

8. Warranty

The statutory warranty rights apply. In the case of used goods, warranty claims may be limited to one year unless mandatory legal provisions state otherwise.

Obvious defects must be reported in writing without delay after delivery.

9. Liability

Intercom IT GmbH is liable without limitation for damages caused by intent or gross negligence. For slight negligence, liability applies only in the event of a breach of essential contractual obligations and is limited to foreseeable damages typical for the contract.

Liability for indirect damages, loss of profit or data loss is excluded to the extent permitted by law.

10. Data protection

Personal data is processed in accordance with applicable data protection laws. Further information can be found in the Privacy Policy.

11. Intellectual property and website content

The content of this website is protected by applicable intellectual property laws. Reproduction, modification, distribution or commercial use requires prior permission unless permitted by law.

12. Place of jurisdiction

The place of jurisdiction for disputes arising from contractual relationships is the registered office of Intercom IT GmbH, provided the customer is a merchant or a legal entity under public law.

13. Applicable law

The law of the Federal Republic of Germany shall apply, excluding the UN Convention on Contracts for the International Sale of Goods.

14. Final provisions

Should individual provisions of these Terms and Conditions be or become invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a legally permissible provision that comes closest to the economic purpose.
